MI Technologies, Inc.
This End-User License Agreement (the "Agreement") is between MI Technologies, Inc. ("we", "us", "Licensor") and the individual or entity authorised to use the ccanalysis application (the "Software"). By accessing or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.
ccanalysis is a private, internal business-analysis application. It reads accounting and credit-card data belonging to MI Technologies, Inc. and its affiliated entities and produces analysis of rewards earning, spending allocation, and interest exposure.
The Software is not a public or commercial product. It is not sold, licensed, distributed, or made available to the general public, and it has a single authorised user.
Subject to this Agreement, Licensor grants the authorised user a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Software for internal business purposes only.
You may not:
The Software connects to third-party services, including Intuit QuickBooks Online. Your use of those services is governed by their own terms. Licensor is not responsible for the availability, accuracy, or behaviour of any third-party service. The Software accesses QuickBooks Online on a read-only basis and does not create, alter, or delete records there.
The Software produces analysis and recommendations for informational purposes only. Its output is not financial, tax, accounting, investment, or legal advice, and must not be relied upon as such. Rewards-program rules, point valuations, interest rates, and issuer terms change frequently and may be inaccurate or out of date in the Software.
The Software does not move money, make payments, transfer rewards points, open or close accounts, or make bookings or purchases. Every financial decision and action remains entirely with the user, who is responsible for verifying any figure before acting on it.
Handling of data accessed by the Software is described in our Privacy Policy, which forms part of this Agreement. You represent that you are authorised to connect any accounting company you connect to the Software.
The Software, and all intellectual property rights in it, remain the exclusive property of MI Technologies, Inc. This Agreement grants a licence to use, and transfers no ownership.
The Software is an internal tool provided on an as-available basis. No uptime, support response, or continued availability is promised, and the Software may be modified or discontinued at any time without notice.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS CALCULATIONS OR RECOMMENDATIONS WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, REWARDS POINTS, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS (US$100).
You agree to indemnify and hold harmless Licensor from any claim arising out of your use of the Software in breach of this Agreement or of applicable law.
This Agreement applies for as long as you use the Software. Licensor may terminate it at any time. On termination, you must cease all use of the Software. Sections 5, 7, 9, 10, and 11 survive termination.
This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in San Diego County, California.
This Agreement, together with the Privacy Policy, is the entire agreement between the parties concerning the Software and supersedes all prior understandings. If any provision is held unenforceable, the remainder stays in force.
